$0 for equity
Foursquare co-founder and former CEO Dennis Crowley said equity holders received no returns from the company’s acquisition by Infillion, writing that he was "heartbroken." Crowley said the acquisition paid equity holders "exactly $0," and he pointed to a lack of money offered for preferred or common stock. Crowley also wrote that the outcome made it seem that the company’s efforts were "worth… nothing?"
Crowley wrote that "No single individual stood up to own (or even acknowledge) the outcome," and he said the $0 equity outcome was buried in a 125-page PDF for Foursquare's legal team. Infillion executive vice president of marketing Calynn Krieger told Business Insider that Foursquare had "remarkable technology and a talented team."
Leadership and the board
Crowley blamed the final outcome on a transition in leadership, saying the management of the company wasn’t able to preserve or create new value. Crowley wrote, "Leadership was unable to preserve the value it inherited or create new value during those six years," and Crowley cited the company’s Glassdoor reviews. Crowley said he left the CEO role in 2016 while continuing to lead Foursquare's research and development lab through 2021, and he kept a seat on the board afterward.
Foursquare raised capital from The Raine Group in 2019, and Gary Little became CEO less than two years later. The Raine Group did not respond to a request for comment from Business Insider, while Krieger told the outlet that Infillion had "nothing to say about Foursquare's former leadership."
What Infillion says next
Infillion said it would continue to monetize Foursquare’s data, and The Economic Times said Foursquare would maintain its independent operations while it monetized its data. The Economic Times also reported that Infillion claims the acquisition will enhance both revenue and workforce capacity, while Crowley’s post focused on the $0 outcome for equity holders. HackerNoon said Foursquare raised about $412 million and was once valued at $450 million before being sold to Infillion for zero dollars to every equity holder.
Crowley confirmed in his Teendrama Snippets newsletter that preferred and common shareholders both got nothing, and the deal paperwork showed each share of Preferred Stock was "cancelled and extinguished" with no payment. HackerNoon said Infillion bought a real business with roughly 150 employees and a data set it wanted, and it said Infillion’s strategy was buying ad tech assets whose capital stacks are underwater and bolting them onto one platform.
