Tron files $200M ATM

Tron Inc. filed with the U.S. Securities and Exchange Commission for an at-the-market offering that would allow it to sell up to $200 million of its own shares over time.

Clear Street LLC would act as agent and take up to 3.0% of gross proceeds, which the filing frames as commissions of up to $6 million on a full $200 million sale.

Tron said the net proceeds would go mainly to grow the business by acquiring additional TRX tokens, plus working capital and general corporate purposes.

Tron also said it plans to hold TRX in treasury and stake substantially all of it to earn yield, largely through liquid staking on the TRON blockchain.

Tron’s filing ties the offering to its existing TRX accumulation program, which it described as buying about $50,000 worth of TRX per day for 360 consecutive days.

Holdings, purchases, and dilution

Tron’s disclosed treasury holdings included TRX and sTRX tokens valued at $233.8 million as of June 30, 2026, alongside a $10.1 million prepayment for more purchases. Other coverage instead put Tron’s treasury at 718.9 million TRX tokens valued at approximately $237 million, and it described a recent acquisition of 149,369 TRX at an average price of $0.3347. The ATM creates shares as they are sold, with the cost landing on the share count, and the coverage calculated that a full $200 million sale at a last reported Nasdaq sale price of $1.22 on October 13, 2026 would mean 163,934,426 new shares.

Tron had 474,432,064 shares outstanding before the offering and would have 638,366,490 after, while the dilution table shows buyers being diluted by about $0.90. Tron’s outstanding count excludes 2,620 shares issuable on warrants at $6.00 and 1,715,000 shares issuable on options with a weighted average exercise price of $0.99.

Stock reaction and next steps

Tron’s stock reaction appeared weak in the coverage, with BigGo Finance saying the stock opened down approximately 4.7% from the previous trading day in early trading. The cumulative decline over the past 12 months had reached roughly 67%. The offering is framed as a ceiling rather than a promise, with neither Tron nor Clear Street having to sell a single share and either side being able to walk away on ten days' notice.

Clear Street can end the deal over events including a material adverse effect on the company, while the test is described as execution rather than the filing. The ATM does not dilute on the day it is filed, only as shares are sold, and every sale shows up in the next filing.
